Dominica’s International Business Company legislation was written for companies whose business is conducted outside the country. The Consulate can arrange incorporation and act as the point of contact with the registered agent on the island.
Features
A single shareholder and a single director are permitted.
Corporate directors and shareholders are allowed.
No minimum capital requirement.
Accounts must be kept, but public filing of them is not required.
A registered agent and registered office in Dominica are mandatory.

Proposed company name and two alternatives.
Certified passport copies and proof of address for each beneficial owner and director.
Bank or professional reference for each beneficial owner.
A description of the intended business activity.
Source of funds declaration.
Ongoing
An annual government fee and the registered agent’s fee keep the company in good standing. Failure to pay leads to striking off, and restoration costs more than renewal.
